Terms of Service

Welcome to Ionia, operated by Ionia OS, Inc. ("Company," "we," "us," or "our"). These Terms of Service govern your access to and use of ionia.sh, trust.ionia.sh, and Ionia websites, content, features, products, or services that link to these Terms (collectively, the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind it. A separate written agreement controls to the extent it conflicts with these Terms.

You must be at least 18 years old or the age of legal majority in your jurisdiction to use the Services.

Ionia provides infrastructure, tooling, and related services for public-site readiness, structured content delivery, edge routing, monitoring, reporting, and related workflows.

We do not guarantee that any search engine, AI platform, crawler, marketplace, or other third-party system will crawl, index, rank, cite, display, or interpret content in any particular way.

You agree not to use the Services:

• In any way that violates applicable law or regulation.
• To exploit or harm minors.
• To distribute malware, spam, deceptive content, or unlawful material.
• To impersonate a person or entity or misrepresent an affiliation.
• To interfere with, disrupt, overload, scan, or compromise the security or performance of the Services.
• To access, scrape, copy, monitor, or reverse engineer the Services except as expressly permitted by us or applicable law.
• To distribute content that you do not have the right to use.

If accounts are enabled, you are responsible for safeguarding credentials and activity under your account.

You retain ownership of content, data, URLs, configuration details, files, prompts, and business information you submit. You grant us a worldwide, non-exclusive, royalty-free license to host, process, reproduce, adapt, transmit, display, and analyze that content as needed to provide, secure, support, and improve the Services.

Paid Services are governed by the applicable order form, checkout flow, invoice, or written agreement. Payments may be processed by providers such as Stripe. Unless otherwise agreed in writing, fees are non-refundable to the fullest extent permitted by law.

The Services, software, interfaces, designs, text, graphics, logos, documentation, and materials we provide are owned by Ionia OS, Inc., our licensors, or other providers and are protected by intellectual property laws.

Use of the Services is subject to our Privacy Policy.

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, OR OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, ACCURACY, AVAILABILITY, AND RELIABILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, IONIA OS, INC. AND ITS AFFILIATES, LICENSORS, PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY.

Our total liability for a claim will not exceed the greater of the amount paid for the Services giving rise to the claim in the three months before the event or US $100.

You agree to defend, indemnify, and hold harmless Ionia OS, Inc., its affiliates, providers, and their personnel from claims, losses, costs, and expenses arising from your violation of these Terms, your content, or your use of the Services.

These Terms are governed by Illinois law. Proceedings will be instituted exclusively in federal or state courts located in Chicago, Illinois.

We may modify these Terms by posting an updated version. We may suspend or terminate access, including for violations. If a provision is held invalid, the remaining provisions remain in effect.
